1. Engagement
Each project begins with a written proposal or statement of work that identifies the client, scope, deliverables, assumptions, timeline, fees and payment schedule. A project starts when both parties confirm the scope and the initial payment is received.
2. Scope and changes
Estimates are based on the information available at the time. Requests outside the agreed scope, including new features, additional revisions or changed integrations, may change fees or timing. We will confirm material changes before proceeding.
3. Client responsibilities
The client will provide timely access, content, decisions, approvals and third-party credentials reasonably needed for delivery. Delays in these inputs may move milestones and launch dates.
4. Fees and payment
Unless otherwise stated in writing, invoices are payable according to the agreed schedule. Approved third-party costs, licences, hosting and payment provider charges are paid by the client. Work may pause when an invoice is overdue.
5. Ownership and portfolio
After full payment, agreed final deliverables transfer to the client. Yishan retains ownership of reusable tools, frameworks, methods, templates and pre-existing materials. Unless confidentiality prevents it, we may display completed work in our portfolio after launch.
6. Warranty and support
We will use reasonable care and skill and will correct reproducible defects in the agreed deliverables reported within the warranty period stated in the proposal. Ongoing maintenance, new features, hosting and support are separate services unless included in writing.
7. Cancellation and liability
Either party may request cancellation in writing. The client remains responsible for work completed, committed third-party costs and approved expenses up to the cancellation date. To the extent permitted by law, each party's liability is limited to the fees paid for the relevant project, excluding fraud, wilful misconduct or liabilities that cannot legally be limited.
